1 Work Order 1.1 Definitions “WPC” as shown means WPC Home Improvements Pty Ltd, its employees and sub-contractors. “Client” means the client identified in the Work Order. “Goods” means the goods & services referred to in the Work Order. “Price” means the price of the Goods set out in the Work Order.

“Site” means the address set out in the Work Order. “Work Order” means the attached order for the Goods. 1.2 Quotations, budget, tender pricing and work orders by WPC and their representatives are not fixed in price until the project manager has confirmed material quantities, material availability and material costs, labour, site access, and safety requirements for the project. 1.3 The client will purchase and WPC will supply the Goods to the client in accordance with these Terms and Conditions. 1.4 The quotations provided do not allow for interest free terms unless previously arranged. 1.5 WPC at its discretion will source goods similar to brand name products listed on its quotations, tenders and promotional information.

2 Payment 2.1 The price is GST inclusive and the Client will pay all GST imposed on the supply of the Goods. 2.2 The Client will pay to WPC the deposit, professional service fees and any progress payments. The final payment of the balance to be paid within 7 days of practical completion. 2.3 Interest will be charged on overdue amount at the rate of 2.5% per month compounding daily. 2.4 If any payment is not made by the due date WPC reserves the right to: (a) suspend or cancel the Work Order and to take proceedings for recovery of damages. (b) enter the Client’s premises, repossess the Goods and resell them. 2.5 The price is based on normal work conditions, with electric power being available on site and unless otherwise stated includes installation. The Client will pay any additional costs incurred beyond the reasonable control of WPC, including: (a) the supply of electric power if not available on the site.

(b) the client deferring or delaying delivery or installation of the Goods for whatever reason. 2.6 WPC retains title in the Goods until the Price is paid in full. The Client authorises WPC to enter the site to repossess the Goods and to detach the Goods if affixed to the site. 2.7 Risk in the Goods will pass to the Client on delivery notwithstanding that title remains with WPC. 2.8 The Client will maintain insurance on the Goods against all risks whatsoever from the date of delivery to the site. 2.9 All prices exclude any extra requirements i.e. extra strengthening to an existing structure, rainwater disposal or retention tanks. 2.10 WPC may engage the services of private certifiers to assist with the development approval process. 2.11 If a development application is not approved by council the deposit and professional fees will be returned less any reasonable expenses incurred. 2.12 If a client cancels a work order, the deposit and professional fees will not be refunded and the client will be responsible for all associated costs as a result of the cancellation.

3 Dates and Conditions of Work 3.1 All delivery and completion dates set out in the Work Order are approximate dates only and are subject to: (a) the availability of the Goods from the manufacturer; and (b) the requirements and specifications of the manufacturer for the use of the Goods by the Client. 3.2 WPC will use all reasonable endeavours to complete the job within the period set out in the Work Order. 3.3 Measurements are trade measurement, not actual and WPC accepts no responsibility for variations in the Goods. 3.4 WPC assumes no responsibility for the fence/structure/posts etc.

(a) being on the correct alignment (boundary) unless proper survey marks are provided by the client prior to commencement. (b) damage to any plants, pathways or other property in the vicinity of the construction or access area. 3.5 Colour matched touch up paint will be used on scratches and defects on powder coated, Colourbond and coloured products. 3.6 Any downpipes included in the Work Order will only displace stormwater from the roof to ground level. WPC will not connect downpipes to the storm water system. 3.7 Unless specifically included in the Work Order, WPC does not accept any responsibility for cutting or breaking through rock or concrete and will not reinstate concrete or paving bricks removed for structural footings. 3.8 Unless otherwise instructed by the Client, WPC will dispose of its rubbish or excess materials from the site.

4 Client Obligations 4.1 Prior to commencement of any works, the Client will advise WPC of: (a) the location of any underground services to the site including electricity cables, water, gas and sewerage pipes or systems or any other such service; and (b) any easements on the title to the site and the client will make such enquiries as required to ascertain the existence of location of such services and any easements and shall indemnify WPC from and against any liability cost or claim arising from any damage or disruption caused to such services or arising from complying with the terms of any easement. (c) surveyed boundary details and boundary markers. 4.2 The Client acknowledges that WPC may use sub-contractors in the installation of the goods. 4.3 WPC requires unrestricted access to the Site and the client will remove or move any objects obstructing such access.

5 Exclusion of Liability 5.1 WPC will not be responsible for costs expenses or damage resulting from a failure to deliver the Goods or complete installation within the period set out in the Work Order. 5.2 WPC does not accept any liability or make any warranty in relation to the goods except as provided in the Work Order or as required or imposed by law. No warranty will be applicable to any goods, services or workmanship until the full payment has been received for all works. 5.3 Damages for breach of any warranty implied or otherwise is limited to the replacement or repair of the Goods or the cost of the Goods only at WPC’s discretion and shall not extend to any consequential damages whatsoever. 5.4 WPC will not be liable for any loss or damage, due to circumstances beyond its reasonable control.
